I sometimes wish they had therapists that had already seen the mountain of footage that we've already seen about Darcey, maybe it would help them understand faster what they're dealing with.
Anyway, I was horrified to see that the therapist simply LET Darcey talk over Georgi. I felt like he was finally being honest about his feelings ("Stacey was being rude to me") and Darc just cuts him off ("She was just asking questions, is that rude?"). I wish the therapist had intervened there, because I think Darcey really doesn't listen to Georgi and internalise what he's saying even though she thinks she does.
But, she did manage to extract a 'sorry' from Darc by the end of the session, which was extremely gratifying to see. IMO, Darc has not apologised nearly enough for her part in the breakdown of the relationship.

I avoided and chose to voyeur for these reasons
I assumed that it would be a dud with big price drops straight after Or It would be oversubscribed and as the buy amounts are low you'd have not enough to make the upfront effort worth it or spunk your gains in gas
I see it looks very oversubscribed which is good for the secondary market usually. But I'm guessing most people will end up with a very small amount.
Let's see how it goes and price after it's all done.

This is a LONG four part story of my five year experience in serving in my HOA and playing a part in its rebirth. I'm publishing this to assist others who may have similar situations and are looking for solutions.

CHAPTER 4 THE WASTING OF THREE YEARS
The next Annual Meeting came about and this time we had an opening on the Board because one of the last of the old guard decided to retire. As a parting shot, he mentioned at the meeting that he and a committee were working on revising the governing documents; this was not a topic on the President’s agenda! When the call for nominations came up, one person stood and volunteered. Unfortunately the person was an owner of a house that had been cited many times for violations and we received numerous complaints from neighbors. No one else volunteered so like me, he was elected. The President told the homeowners about how much effort had gone into re-registering the HOA (without giving details).
After the Annual Meeting, I spent a lot of time going over both the draft CCR’s and Bylaws. Additionally, my previous research on both federal and state laws regarding HOA’s identified more changes along with those cited by the lawyer. All of the items were incorporated in my draft but the majority of the effort was to remove or modify the punitive items of the CCR’s and repair the Bylaws so the HOA could be functional but not give the Board free reign to do what it pleased. Essentially the “draft” was no longer that of the committee but my own creation.
The next Board meeting was to receive the “notary” plan and report from the “revised documents committee” and my edits of their draft governing documents. The committee reported it looked into how notarized approvals could be obtained and the leading option was to get the Board members to become authorized notaries. This was not well received by the non-committee members. They offered a few generalizations of how it could be done but no coherent plan was put forward. I asked them if they had any ideas at all on how resolve the voting requirements for CCR and Bylaw changes defined in the current documents. They said they had not fully thought that through thus they proposed no solutions.
Now it was my turn to discuss my “draft” of the documents so I handed out hardcopies. I first went through the deleted sections and pointed out my equivalents where they existed. There was no hiding the distain for my effort by the old committee members. Once I finished, the “Chairman” of the committee said “well there goes three years of work down the drain!” The President finally spoke up. He said in essence: well, we wanted to modify the documents without really knowing how to do it. It appears it is impracticable to attempt it; particularly if it would be defeated. His statement finally ended the outcome of having a rogue HOA! Shortly thereafter, the last of the old guard to retired and we appointed temporary Board members as is allowed in our Bylaws.
CHAPTER 5 STEPPING UP
For the remainder of the year it was business as usual for the most part with violations and some interventions by our President and resolutions by the Architectural Committee. Our newly elected board member was removed from the Board for a lack of attendance. Midyear, our President made it clear that this was to be his last year. As we approached the Annual Meeting date, our President stopped attending Board meetings and did not respond to phone or email. I initiated a special Board meeting one week before the Annual Meeting and the President did not attend. I pointed out that the annual Meeting would be a real clown circus if we did not have an agenda or a leader for it. All agreed and I volunteered to conduct the Annual Meeting.
I arrived well in advance of the meeting and set up my computer and projector. I had prepared my presentation in PowerPoint and tested the setup. As I was calling the meeting to order in walks the President! He came up to me and said he had his presentation on a USB drive. I told him the board agreed I would conduct the meeting but I offered for us to do it together using my slides. He agreed and we smoothly conducted the meeting together. With his departure, we needed another board member. The two previously appointed members were approved by a vote of the homeowners and one volunteer was also voted in. The President said nothing to me regarding his disappearance but I understood; he was totally burned out. He owed us no excuse; he had engineered the recasting of our HOA albeit with treasurer’s and my help. His expenditure of hundreds of hours of work and stress over four years earned him the right to exit as he saw fit. After the meeting, the Board huddled and decided on officers; I was selected as the new President.
My presidency was different from my predecessor. I had a good Board and Architectural Committee who had no history to service or investment in past ventures. Fortunate for me, I was able to fall back on my experiences serving as officers in my past life. I delegated as much as I could and formed committees to address issues that needed resolution. I did not get involved in intervening with violation issues except for a few but did render my opinions and offered suggestions for resolutions. On two occasions I took care of violation issues when I knew I’d be more successful. Yes there were HOA issues still unresolved with the old CCR’s and Bylaws. I proposed to the board that we approve a resolution that we would not try to enforce any covenant that conflicted with federal, state or local ordinances, (i.e. we declared them to be unenforceable). We also included a few legacy covenants that were functionally unenforceable (impacted by state and federal law). By documenting these actions, we provided some assurance that future violations would keep focus on actionable and legal items.
The largest Bylaw issue was obtaining quorums for Annual Meetings. Having previously read the state statutes regarding HOA’s, I discovered language that arguably enables proxy voting. I instituted a document that served multiple purposes. We had always sent out invoices for paying annual dues so I added a new element, a proxy vote form. The proxy vote contained the following; I proxy vote to approve the minutes of the last Annual Meeting, reserve fund, and proposed budget that appears on the HOA website; signed and dated. The homeowners returned the proxy’s approved along with their annual dues. This additional allowed us to fulfill our HOA and state requirements without having to try to modify the Bylaws to achieve a quorum for the most essential items.
CHAPTER 6 CONCLUSION
I was really put off by not being able to attend a Board meeting years earlier and was very suspicious of the reports of fines and liens; it turns out my suspicions were warranted! The governing documents clearly showed that the HOA was being run by a self-appointed group of people who were responsible to no-one including the state and federal government.
The newly appointed President (my predecessor) who called the first Annual Meeting intended to make the HOA legal for the first time in its history but he inherited the board that wanted to continue violating its charter. I weaseled my way on the board at an opportune moment at an Annual Meeting. The President worked extremely hard, intervened to remove the punitive measures and when it was clear that the direction of the old board was flawed, stopped an illegal attempt to modify the governing documents, and took the actions necessary to make the HOA “legal” again. This gentleman deserves all the credit for properly recasting the HOA!
My role in this story was and more of a catalyst for change. I focused on the fundamentals as defined in the governing documents federal/state law. I was burr under the saddle of the old guard and strongly supported the moves of the President. I waited for an opportunity to get control of the re-write of the governing documents and put my mark on them. I served as President for two years then retired. The remaining board continues to run the HOA legally and maintains the homeowner friendly approach with the old CCR’s and Bylaws in force.
I hope this story will help people who wish to effect change in their HOA, the key is not to gripe but to get on the board and try to make a difference but it all begins by READING and understanding the governing documents and state laws and holding those in charge to stay within their bounds. Be aware however, change doesn’t happen overnight, it may take several years of concentrated effort!
